Baker & Taylor Announces Changes in Organizational Structure Baker & Taylor, Inc.( 07/28/1999 ) Baker & Taylor has announced a new organizational structure and its plans to combine its Books and Entertainment units into one company. Baker & Taylor's two major operating divisions, Books and Entertainment will now be organized along customer lines and will be known as Baker & Taylor Institutional and Baker & Taylor Retailer. Each of these operating units will be responsible for representing all of B&T's products and services to their respective markets. In order to effect the new structure, the following organizational changes are being announced. Gary Rautenstrauch has been named President, Baker & Taylor Institutional. B&T Institutional will consist of all library sales and marketing operations for all product lines plus Professional Media Service Corporation (PMSC), Replica Books, Yankee Book Peddler (YBP) Library Services and Customized Library Services. Jim Ulsamer has been named President, Baker & Taylor Retailer. Baker & Taylor Retailer will consist of all Retail and International sales and marketing activities for all products and services to these customers. Baker & Taylor's drop ship and fulfillment activities on behalf of Internet retailers will also be part of B&T Retailer. Bill Polich, formerly President of Baker & Taylor Entertainment, will be reporting to Jim Ulsamer and will assist in integrating the Retail sales and marketing activities. Arnie Wight has been named Executive Vice President, Distribution and is responsible for all distribution and purchasing activities. Mr. Wight will continue to lead B&T's facility expansion effort, which was announced earlier. All of the above positions will be located in B&T's corporate headquarters in Charlotte, North Carolina. These steps are critical parts of the plan to locate all B&T headquarters activities in the corporate office. B&T's Entertainment unit has maintained its headquarter functions in Morton Grove, Illinois. In further structural changes, B&T announced that it will be moving all types of product into the four major facilities that are undergoing significant expansion. This means that all product types: books, music, videos, and DVD will soon be stocked in B&T's Illinois, Georgia, New Jersey and Nevada service centers. By the end of June 2000, B&T plans to complete the integration and consolidation of operations into a single distribution system and organization. This will include the relocation of all Entertainment shipping operations (other than Denver) including Niles, IL; Pittsburgh; Miami; Chatsworth, CA and Duluth, GA into the closest expanded B&T consolidated service center. Commenting on the above changes, B&T's CEO, Craig Richards stated, "These changes in our organization and structure will fulfill a long-term goal of bringing Baker & Taylor together as one company. As we look down the road, the markets we serve will present us with new challenges and we anticipate that competition will intensify. These changes will position us well to bring our customers the full range of products and services they desire in the most efficient manner possible." Throughout the transition outlined above, Baker & Taylor will continue to provide customers with the highest level of service possible. The company's goal is to provide a seamless transition in the process of offering accounts a complete selection of entertainment and informational products - video, DVD, music, books and related accessories - as quickly and efficiently as possible.
